Terms of Sale

These terms govern commissions to and sales by Donati Atelier. They apply to business clients (B2B), private clients and family offices. For trade partners, the dedicated trade agreement signed at onboarding may take precedence on commercial terms.

1. Parties

"Donati" refers to Donati Atelier Co., Ltd., the Italian high-jewellery atelier based in Bangkok, Thailand. "Client" refers to the party requesting a commission, whether a maison, retailer, designer, family office, concierge or private individual.

2. Brief and quotation

Every project begins with a written brief shared with our Technical Direction by email, the website chatbot, the trade portal, or in person at the atelier. Within 48 hours we acknowledge receipt and indicate whether the brief is feasible.

A written quotation follows, indicating: scope, gemstone selection, technical specifications, lead time, milestones, total price (excluding shipping, duties and taxes unless stated), and payment schedule. The quotation is valid 30 days from issue unless otherwise indicated. The contract is formed only upon written acceptance of the quotation and receipt of the first instalment.

3. Pricing and currency

Prices are normally quoted in EUR, USD or CHF, at the Client's request. Quotations reflect gemstone and gold market values at the time of issue; if execution is deferred and prices move materially, we may issue a revised quotation before starting production.

4. Payment terms

Unless otherwise agreed in writing, payment is structured as follows:

For Trade partners on a framework agreement, terms are governed by the trade contract. Late payments accrue interest at the legal commercial rate of the Client's jurisdiction; for EU clients, EU Directive 2011/7/EU on late payment applies.

5. Lead times

Indicative lead times from contract acceptance:

Force-majeure events (gemstone-market disruption, customs delays, public-health restrictions, raw-material unavailability) may extend lead times. We notify the Client promptly and, where possible, agree an adjusted schedule.

6. Gemstones, materials, certificates

We work with gemstones individually selected at source (Chanthaburi / Bangkok / European auctions) and gold of 18kt minimum. Diamonds above 0.30ct carry a GIA or IGI certificate; coloured stones above 1ct carry an SSEF, Gübelin or GRS certificate as appropriate. Certificates accompany the delivery.

7. Modifications during execution

Once the model / CAD / gouaché has been approved by the Client, structural modifications are billed separately and may shift the lead time. Small adjustments (sizing, engraving) are usually included.

8. Delivery and risk transfer

Delivery is on the terms agreed in the quotation, typically DAP (Delivered at Place. Incoterms 2020) for international clients, by insured express courier. Risk passes to the Client on delivery. Duties, taxes and import formalities are the Client's responsibility unless the quotation expressly says otherwise.

9. Right of withdrawal (consumers only)

EU consumers acquiring catalogue (non-customised) pieces have a 14-day right of withdrawal under Directive 2011/83/EU. The right does not apply to goods made to the Client's specifications or clearly personalised (which is the case for the vast majority of Donati's output). The Client acknowledges this exception in writing at order.

10. Warranty

Every piece is warranted against manufacturing defects for two years from delivery. Warranty covers structural failure of the metal mount, prong settings, mechanism (including the stretchable mechanism). It does not cover damage from misuse, accidents, exposure to chemicals, or normal wear. EU consumers retain the statutory two-year legal warranty under Directive (EU) 2019/771.

Service and care: complimentary clean and inspection are offered annually at the atelier.

11. Intellectual property

All designs, sketches, CAD files and original creations remain the intellectual property of Donati unless transferred in writing. For White Label and Co-Design, the Client receives a licence to commercialise the manufactured pieces under its own hallmark, on the territory and exclusivity terms set in the contract.

12. Confidentiality

Donati maintains strict confidentiality on every project. A mutual NDA is available on request and is standard for Trade and Maison projects. Photographs of Client's pieces are never published without written authorisation.

13. Limitation of liability

To the extent permitted by applicable law, Donati's aggregate liability under any commission is limited to the amount actually paid by the Client for that commission. This limitation does not apply to liability for wilful misconduct, gross negligence, or any liability that cannot be limited by law (including bodily injury and consumer-protection rights).

14. Governing law and disputes

These terms are governed by the law of the contract jurisdiction agreed in writing (defaulting to Thai law for direct contracts with Donati Atelier Co., Ltd.). The parties will attempt good-faith resolution of any dispute. Where unresolved, the courts of Bangkok have non-exclusive jurisdiction. EU consumers retain their mandatory rights of jurisdiction in their place of residence.
